Novaxis Terms & Conditions

Welcome to Novaxis. By accessing or using our website, services, or entering into agreements with us, you (“Client,” “You,” or “Your”) agree to be bound by the following Terms & Conditions.
1. Services Provided
Novaxis provides IT outsourcing, business process outsourcing (BPO), and cybersecurity services, including but not limited to:
Provision of offshore talent based in Sri Lanka for various technical and business roles
IT consulting, managed services, and software development
Cybersecurity services such as managed detection and response (MDR), penetration testing, and compliance support (ISO 27001, SOC 2)
Specific terms of service for projects will be outlined in separate Statements of Work (SOW) or contractual agreements.
2. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information required for service delivery
Ensure that any materials or access provided to Novaxis do not infringe on third-party rights
Comply with all applicable laws and regulations relevant to the services
3. Confidentiality & Data Protection
Novaxis will treat all client data and business information as confidential
Any personal data shared will be processed in line with our Privacy Policy and applicable data protection laws
Data may be transferred and processed by our teams in Sri Lanka solely for the purposes of fulfilling our services
4. Intellectual Property
Unless otherwise agreed in writing, all deliverables and intellectual property developed for a client under a specific project will belong to the client upon full payment
Novaxis retains ownership of any pre-existing intellectual property, frameworks, or methodologies used in delivering services
5. Fees & Payment
All fees are outlined in project agreements, proposals, or SOWs
Payments are due as per the agreed payment schedule. Late payments may incur interest or service suspension
6. Limitation of Liability
Novaxis will not be liable for any indirect, incidental, or consequential damages arising from the use of our services
Our total liability for any claims will not exceed the amount paid by the client for the specific service giving rise to the claim, unless otherwise outlined in the applicable Master Service Agreement (MSA)
7. Termination
Either party may terminate the engagement by providing written notice as per the terms in the service agreement
Termination does not affect accrued rights or obligations, including payment for services rendered
8. Governing Law & Dispute Resolution
These Terms & Conditions are governed by the laws of Sri Lanka. However, either party may seek advice or consult legal frameworks in their own jurisdiction where necessary. In the event of any dispute, both parties agree to first attempt to resolve the matter amicably through good faith discussions before pursuing any formal legal action. Any unresolved disputes will be subject to the exclusive jurisdiction of the courts of Sri Lanka, unless otherwise mutually agreed in writing.
9. Changes to Terms
We may update these Terms & Conditions from time to time. Continued use of our services constitutes acceptance of the updated terms.
